  • WAIVER AND RELEASE OF LIABILITY

    By registering to participate as a vendor/exhibitor in the Florida Emancipation Day - a Family Reunion & FAMU Farm Fest (hereinafter referred to as the "Event"), the vendor or exhibitor (hereinafter referred to as the "VENDOR") acknowledges and agrees to the following terms and conditions, whether or not payment is disputed:

    Acknowledgment of Risk

    The VENDOR understands and acknowledges that participation in the Event involves potential risks, including but not limited to property damage, theft, or personal injury occurring during the setup, operation, and breakdown of the vendor booth and in the general course of attending the Event. The VENDOR voluntarily assumes all risks associated with their participation in the Event.

    Release of Liability

    By paying for a vendor space and participating in the Event, the VENDOR, for itself and its employees, agents, contractors, or any other individuals associated with its participation, hereby fully releases and discharges the Tampa Bay History Center and Florida A&M University (hereinafter referred to as the "Event Organizers"), their officers, employees, agents, volunteers, sponsors, and all other parties involved in organizing or conducting the Event (collectively referred to as the "Released Parties") from any and all claims, demands, causes of action, damages, liabilities, or expenses, whether arising from negligence or otherwise, in connection with the VENDOR's participation in the Event.

    Indemnification

    The VENDOR agrees to indemnify, defend, and hold harmless the Released Parties from any and all claims, demands, damages, or liabilities, including legal fees, arising from or related to any action or omission by the VENDOR or its agents, employees, or contractors during the Event. This includes any claims of negligence, harm, injury, or loss arising during the setup, duration, and breakdown of the Event.

    Vendor Responsibility

    The VENDOR agrees to take full responsibility for its actions, products, and services provided at the Event. The VENDOR shall ensure that all products, services, and displays comply with all applicable laws, rules, and regulations. The VENDOR acknowledges that the Event Organizers have the right to remove any vendor from the Event if their activities are deemed unsafe, inappropriate, or non-compliant with Event regulations.

    Health and Safety Compliance

    The VENDOR agrees to comply with all health and safety protocols required by the Event, including those related to COVID-19 or other public health guidelines, as mandated by the Event Organizer, local authorities, or other regulatory bodies. The VENDOR will also ensure the safety of its employees, contractors, and customers while participating in the Event.

    Event Rules and Regulations

    The VENDOR acknowledges that they are responsible for familiarizing themselves with and adhering to the Event's rules, regulations, and guidelines as provided by the Event Organizers. Failure to comply with these rules may result in the VENDOR being removed from the Event without refund.

    Payment Acknowledgment

    By submitting payment for vendor participation in the Event, the VENDOR acknowledges acceptance of this General Liability & Participation Waiver in full, whether or not the payment is disputed. The VENDOR understands that no further action is required to agree to the terms, and any dispute of payment does not alter the binding nature of this agreement.

    Photographic and Media Release

    The VENDOR grants permission to the Event Organizers to take photographs, video recordings, or other media of the VENDOR, its booth, products, or employees during the Event, and to use these images for promotional purposes, including on social media, websites, and printed materials.

    Cancellation and Refund Policy

    The VENDOR understands that in the event of cancellation or postponement of the Event, no refunds will be provided except under specific terms outlined in the Event's vendor agreement or as required by applicable law. The VENDOR waives the right to request a refund for any disputed payments unless otherwise stated in the vendor agreement.

    Severability

    If any provision of this Waiver is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

    Governing Law

    This Waiver shall be governed by and construed in accordance with the laws of the state in which the Event is held.
